Quick answer: In most activities you do not need a business partner in Oman: foreign investors can own 100% of an LLC or SPC without an Omani sponsor. You need one only for the small number of activities reserved for Omanis or requiring Omani participation, or when you choose a partner for capital, contacts or contracts.

Do you need an Omani partner?

Since the Foreign Capital Investment Law took effect in 2020, a foreign investor can hold 100% of a company in most activities. See 100% foreign ownership in Oman. A local partner is not a legal requirement for a typical trading, consulting, IT or services company. A few activities remain reserved for Omanis or require Omani participation, which we check against your activity codes before filing.

Options for working with a partner

Option How it works Best for
No partner 100% owned SPC or LLC Most foreign founders
Foreign co-founder Two or more foreign shareholders in an LLC Shared capital and skills
Omani shareholder Omani individual or company holds shares in an LLC Restricted activities, local contacts, government work
Joint venture A separate LLC owned by two companies for a project Large contracts and tenders; see joint venture formation
Distributor or commercial agent Contract, not ownership Selling a brand in Oman without a company; see commercial agency registration

How to choose and vet a partner

  • Check the Commercial Registration of any company partner and confirm its activities and good standing.
  • Look for complementary strengths such as licences, contacts, capital or technical skills.
  • Agree roles in writing: who manages, who signs, who funds.
  • Avoid nominee arrangements. An Omani name on paper without real participation creates legal and commercial risk.

Protect your investment

Put the commercial terms in a shareholders' agreement alongside the articles of association: capital contributions, profit distribution, decision-making and deadlock, pre-emption and exit. Share transfers and new partners are filed as company amendments; see how to change company ownership in Oman.

How we help

Yes. For most activities a foreigner can own 100% of an LLC or SPC without an Omani partner or sponsor.

Which activities need an Omani partner?

A small list of activities is reserved for Omanis or requires Omani participation. The list depends on the activity code, so we check yours before filing.

Is a joint venture the same as having a partner?

A joint venture is a specific arrangement, usually a separate company owned by two or more businesses for a project, with its own agreement.

How do I add a partner to my company later?

Add a shareholder through a company amendment: shareholder resolutions, a share transfer or capital change, and an updated Commercial Registration.
