How to choose

Choose an LLC if you have two or more shareholders, for example co-founders, a joint venture or a parent with a minority partner.

Choose an SPC if you are a single owner, or a foreign company wanting a wholly owned subsidiary with ring-fenced liability.

Choose a branch if you have won a specific contract in Oman, often public-sector work, and the client or the law expects the foreign company itself to perform it.

Choose a representative office if you only want to promote your products and support distributors, without invoicing in Oman.

Choose a joint stock company if your sector requires it, for example banking or insurance, or you plan to raise capital from the public.

Choose a free zone company if your business is manufacturing, logistics or re-export and you want tax holidays and duty-free imports. Compare mainland vs free zone.

Visa and banking implications

  • LLC and SPC can sponsor investor residence for owners and employment visas for staff.
  • Branches sponsor visas for project staff.
  • Representative offices have limited visa options.
  • Banks are most familiar with LLCs and SPCs.

Cost differences

LLCs and SPCs share the same fee structure; branches and representative offices add the cost of attesting parent-company documents; joint stock companies carry higher capital and governance costs. See setup costs.

Changing structure later

An SPC can convert to an LLC when a partner joins, and capital and activities can be changed through company amendments. Converting a branch into a subsidiary means registering a new company, so choose carefully at the start.

Frequently asked questions

What is the best business structure in Oman for a foreigner?

For most foreign investors it is an LLC, if there are several owners, or an SPC, if there is one. Both allow 100% foreign ownership in most activities and limit liability.

What is the difference between an LLC and an SPC in Oman?

Mainly the number of owners: an LLC has two to fifty shareholders, while an SPC has one. Liability, tax and the ability to sponsor visas are essentially the same.

Can I change structure later?

Yes. An SPC becomes an LLC by adding a shareholder, and other conversions are possible through restructuring. A branch generally cannot convert directly; a new company is formed instead.
