What is a single person company?
The single person company (SPC) was introduced by the Commercial Companies Law of 2019. It is owned by one natural or legal person, who holds all the shares and whose liability is limited to the company's capital. In practice an SPC behaves like an LLC with one shareholder: it has its own legal personality, can trade across Oman, hire staff and sponsor visas.
SPCs suit:
- Solo founders, consultants and freelancers who want limited liability rather than personal exposure
- Foreign parent companies that want a wholly owned Omani subsidiary without a second shareholder
- Holding structures that keep each business line in its own company
SPC meaning: what does SPC stand for?
SPC stands for single person company, sometimes written S.P.C. after a company name. Under the Commercial Companies Law (Royal Decree 18/2019) it is a limited liability company with one owner, who can be an individual or another company. Because liability is limited to the capital, the owner's personal assets are protected, which is the key difference from a sole proprietorship. With two or more owners the same structure is an LLC.
SPC vs LLC vs sole proprietorship
| SPC | LLC | Sole proprietorship | |
|---|---|---|---|
| Owners | 1 | 2–50 | 1 |
| Who can own | Any nationality, individual or company | Any nationality | Omani or GCC nationals only |
| Liability | Limited to capital | Limited to capital | Unlimited personal liability |
| Foreign ownership | Up to 100% in most activities | Up to 100% in most activities | Not available |
| Adding partners later | Convert to LLC | Share transfer | Not possible; re-register |

Requirements
- One owner. The owner can also act as manager, or appoint one.
- Name. It must be unique and show that the company is a single person company.
- Capital. No fixed minimum for most activities. Set it realistically for banking and licensing.
- Office address. A registered lease in Oman, which can be a flexible or virtual office where the activity allows it.
- Activities. Must be open to foreign ownership. Some need sector approvals.
How we register your SPC
- Check that your activities are open to foreign ownership and list any sector approvals needed.
- Reserve the trade name.
- Prepare the SPC's articles and the owner's declarations.
- File for the Commercial Registration with MOCIIP.
- Complete Chamber of Commerce membership, lease registration and the municipality licence.
- Register with the Oman Tax Authority and the Ministry of Labour.
- Support the bank account application and your investor visa.
Timelines are similar to an LLC. The CR usually takes a few working days after a complete submission, and the full setup typically takes three to six weeks.
Documents required
- Individual owner: passport copy, photograph and contact details. Residents also provide their resident card.
- Corporate owner: certificate of incorporation, articles of association, a board resolution approving the SPC and appointing a representative, and a power of attorney, all apostilled or legalised and translated where required.
The full list is in our documents checklist.

Frequently asked questions

The same as other companies: 15% corporate income tax, or 3% if it qualifies as a small company, plus VAT once it crosses the registration threshold. Audited financial statements are generally required.
