LLC company formation in Oman

What is an LLC in Oman?

A limited liability company (LLC) is a separate legal entity governed by the Commercial Companies Law (Royal Decree 18/2019). Each shareholder's liability is limited to the capital they contribute, so personal assets are protected from the company's debts. Under the Foreign Capital Investment Law, an LLC can be 100% foreign-owned for most activities, with no Omani partner.

LLCs can trade throughout Oman, sign contracts with government entities and large companies, lease premises, import goods and sponsor visas for owners and staff.

LLC meaning in Oman: what does LLC stand for?

LLC stands for limited liability company, often written L.L.C. after a company name in Oman. It is a company with two or more shareholders whose liability is limited to the capital they contribute. The one-owner equivalent is the single person company (SPC or S.P.C.); see LLC vs SPC explained.

Key requirements

Requirement Detail

How to open an LLC company in Oman, step by step

  1. Activity check. We confirm your ISIC activities are open to foreign ownership and identify any pre-approvals, for example from the Ministry of Health or the Ministry of Heritage and Tourism.
  2. Trade name reservation. We submit name options and reserve the approved name.
  3. Articles of association. We draft the articles covering capital, share split, management and signing powers, and arrange signature by all shareholders.
  4. Commercial Registration. We file the incorporation application with MOCIIP. The CR is usually issued within a few working days of a complete submission.
  5. Chamber of Commerce. OCCI membership is completed and the grade set according to capital.
  6. Office and municipality licence. We register your lease and obtain the municipality licence for the premises.
  7. Tax and labour registrations. We register the company with the Oman Tax Authority and the Ministry of Labour.
  8. Bank account and visas. We prepare the bank account application and process investor visas for the shareholders.

The detailed sequence is in our Oman company registration process guide.

Documents required

For individual shareholders: passport copy, a recent photograph, and contact and address details. Residents of Oman also provide their resident card.

For corporate shareholders: certificate of incorporation, memorandum and articles of association, a board resolution approving the Oman LLC and naming the representative, and a power of attorney. These must be apostilled or legalised in the home country and translated into Arabic where required.

See the complete documents checklist.

LLC obligations after registration

Benefits of an LLC in Oman

Limited liability

Shareholders' personal assets are separate from the company's debts; each risks only the capital they contributed.

100% foreign ownership

Most activities allow an LLC to be wholly foreign-owned, with no Omani partner or sponsor.

Flexible ownership

Individuals and companies from any country can be shareholders, and new partners can join later through a company amendment.

Full market access

An LLC can trade across Oman, bid for government and private contracts, open branches in other cities and sponsor investor and employee visas.

Credibility with banks and clients

The LLC is the structure Omani banks, ministries and large companies know best.

Who an LLC suits

  • Two or more founders, or a founder planning to bring in investors
  • Foreign companies partnering with individuals or other companies
  • Trading, contracting, consulting, healthcare, tourism and most other sectors
  • Businesses that will hire staff and need visas

Single owners usually choose an SPC instead; compare all options in business structures.

Common mistakes

  • Choosing activities without checking which are reserved or need sector approvals.
  • Setting capital too low for the bank, Chamber grade or licences you need.
  • Vague management and signing clauses in the articles, which cause problems with banks later.
  • Signing a lease the municipality won't accept for your activity.

Frequently asked questions

Can a foreigner own 100% of an LLC in Oman?

Yes, for most activities. The Foreign Capital Investment Law removed the requirement for an Omani partner. A limited list of activities is reserved for Omanis, so the activity check comes first.

What is the minimum capital for an LLC in Oman?

There is no fixed statutory minimum for most foreign-owned LLCs. We usually recommend capital that reflects your first year's expenses, because banks and some licensing authorities look at it.

Can one person own an LLC?

An LLC needs at least two shareholders. A single individual or a single parent company should register a single person company (SPC), which offers the same limited liability.

Can an Oman LLC bid for government tenders?

Yes. A mainland LLC with the right activities and contractor classification can bid for government and semi-government tenders, which is one of the main reasons investors choose the mainland over a free zone.

Can I convert my SPC into an LLC later?

Yes. Adding a second shareholder converts an SPC into an LLC through an amendment to the Commercial Registration. See company amendments.

Can an LLC have only one shareholder?

No. A single owner registers a single person company (SPC). An SPC can later convert to an LLC when a second shareholder joins.

Can an LLC open branches in other cities?

Yes. Branches are added to the Commercial Registration and licensed by the local municipality. See business setup by city.

What does LLC mean in Oman?

LLC means limited liability company (L.L.C.): a company with two or more shareholders whose liability is limited to the capital they contribute.
