How to register a commercial agency in Oman

Many foreign brands enter Oman through a local commercial agent or distributor rather than their own company. Oman regulates these relationships under its Commercial Agencies Law and keeps a register of commercial agencies at the Ministry of Commerce, Industry and Investment Promotion (MOCIIP).

What counts as a commercial agency

A commercial agency is an arrangement where a local party represents a foreign principal to market, distribute or sell its products or services in Oman, for a commission or a margin. It can take the form of an agency, a distributorship or a franchise.

Who can be registered as an agent

Eligibility to act as a registered commercial agent is defined by the law and has historically favoured Omani nationals and Omani-owned companies. Since the reforms to foreign investment, the position for foreign-owned Omani companies depends on the activity and the current rules. Confirm eligibility before you sign an agency agreement. Registering the agency

1. Agree the agency contract with the foreign principal, setting out the products, the territory, exclusivity, duration, targets and termination.
2. Attest the documents. The principal's documents and the agency agreement are typically notarised, apostilled or legalised, and translated into Arabic.
3. Apply to MOCIIP to enter the agency in the commercial agencies register.
4. Pay the registration fee and receive the registration certificate.
5. Renew or amend the registration when the contract is renewed or changed.

Typical documents: the agency agreement, the principal's incorporation documents, the local agent's Commercial Registration, and a letter or power of attorney from the principal.

Ending an agency

Termination and any compensation claims are governed by the agreement and the law. The rules have changed over time, so draft termination clauses carefully and take legal advice before terminating.
